According to an exclusive media outlet report on May 2 KST, CEO Min Hee Jin of ADOR requested authority to terminate the NewJeans members' exclusive contracts without interference from ADOR shareholders and HYBE.
The request, made as a proposed amendment to Min Hee Jin's current shareholder's contract with HYBE Labels, occurred in February of this year, after the '30-times the amount in put back options' and 'put back options for the newly issued 5%' negotiations from last year.
Traditionally, matters regarding the exclusive contracts of major artists are decided through a shareholders' meeting. Previously, artists such as BTS and BLACKPINK confirmed their decisions to renew their exclusive contracts with statements like "The decision to renew the members' exclusive contracts was passed during a board meeting," and "The resolution to renew the group's exclusive contract has been passed by the board."
However, Min Hee Jin has allegedly requested an amendment to her shareholder's contract which would allow her to terminate the NewJeans' members' exclusive contracts with ADOR on her own, without consulting the board members and without HYBE interference.
Currently, the shareholder's board at ADOR consists of Min Hee Jin, vice president Shin, and board member Kim. However, as the largest shareholder of ADOR with 80% of shares, HYBE can also exercise its rights to not only call a board meeting, but also replace board members deemed in disagreement with its agenda.
It's believed that Min Hee Jin's request for such authority further led HYBE to suspect the ADOR CEO of plotting an "exit" behind its back, and the amendment proposal was rejected.
So she wanted the right to terminate her label's only artist's contracts without the Board of Directors or her label's parent company knowing about it or being able to exercise their rights to stop her. That's not shady at all. 🙄
No wonder she got audited. She might as well have announced her intention to defraud HYBE by sending a company-wide email.
